1. Acceptance of Terms

By registering for and using the Device Resale client portal, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the portal. These terms apply to all orders placed through the portal.

2. Eligibility & Access

Access to the portal is by invitation only and is restricted to registered business entities. By registering, you confirm that you are authorised to enter into binding commercial agreements on behalf of your business. Personal purchases are not permitted.

We reserve the right to suspend or terminate access at any time, for any reason, including suspected misuse, non-payment, or breach of these terms.

3. Orders & Pricing

All prices are displayed exclusive of VAT and exclusive of shipping costs. Shipping costs are calculated at checkout and are the buyer's responsibility. Prices shown are per unit. We reserve the right to alter prices at any time — the price applicable to your order is the price displayed when you confirm your order.

An order is confirmed when we send you an order confirmation email. We reserve the right to cancel any order prior to dispatch, in which case a full refund will be issued within 5 business days.

Product availability is subject to stock levels. We do not guarantee availability and reserve the right to fulfil orders on a first-come, first-served basis.

4. Payment

Payment is required in full at the time of ordering. We accept the following payment methods:

• Card payment via Stripe (Visa, Mastercard, American Express). Your order is confirmed immediately upon successful payment.
• Bank transfer to our nominated account. Orders placed by bank transfer are held for up to 48 hours pending receipt of funds. We will dispatch once payment is confirmed. Orders not paid within 48 hours may be cancelled.

We do not offer credit terms, invoice payment, or net-30 arrangements. All sales are cash-on-order.

5. Dispatch & Delivery

We aim to dispatch all confirmed, paid orders within 1–2 business days. Dispatch is subject to stock availability and carrier collection times. Once dispatched, delivery is subject to the courier's terms and estimated timescales.

Risk of loss passes to you upon delivery to the address specified in your order. We are not responsible for delays caused by couriers or customs.

6. Product Grades

All products are graded as follows:

• Grade A: Excellent cosmetic condition. Minor signs of handling only. All functions tested and working.
• Grade B: Good condition with visible cosmetic marks (e.g. light scratches on chassis or rear). Screen is generally in good condition. All functions tested and working.
• Grade C: Heavy cosmetic wear. May have significant scratches, scuffs, or marks. All functions tested and working unless otherwise stated.

All devices are tested prior to listing. Unless explicitly stated, devices are unlocked to all networks. Images are representative and individual units may vary cosmetically within their stated grade.

7. Returns & Refunds

Please see our Returns Policy for full details. In summary: we accept returns of faulty items within 14 days of delivery. Returns for change of mind are not accepted on wholesale orders.

8. Limitation of Liability

To the maximum extent permitted by law, Device Resale Ltd. shall not be liable for any indirect, consequential, special, or punitive damages arising from your use of the portal or the purchase of goods, including but not limited to loss of profit, loss of data, or business interruption.

Our total aggregate liability to you in connection with any order shall not exceed the value of that order.

9. Account Termination

We may suspend or terminate your account at any time. Upon termination, any pending orders will be fulfilled or refunded at our discretion. Your order history will be retained as required by our legal obligations.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
